Company establishment

Apply for the new Business License:

1. Determine the Site for business operation
: Rent an office for the commercial purpose or a factory building as required and sign the Lease Agreement
2. Company name: It can be independently inquired and declared through website https://qykb.gdzwfw.gov.cn,except as otherwise provided by the company law
3. Define the business scope: Refer to the Industrial classification for national economy https://jyfvyun.com to determine the Items of Manufacturing and Serving that selected by the company
4.The required document for registration:
● Application for company registration (filing)
● Appoint a representative or jointly appoint an agent to authorize the power of attorney
● The articles of association(AOA) signed by all shareholders
● The copy of the shareholder's principal qualification certificate or the identity document of a natural person
● The appointment letter and the copies of the identity document of the directors, supervisors and managers, which signed by shareholders for Shareholders Resolution or the board of directors for the board of director Resolution
● The appointment letter for legal representative, which signed by shareholders for Shareholders Resolution or the board of directors for the board of director Resolution
● The proof of the use of domicile
● The copy of the approved document or Permit must be submitted for those company who shall be subject to approval
5. Record the foreign funded investment basic infomation
6. Business license will be received according to the time of appointment


However, after the business licenses are received, enterprises shall complete the following procedures to commence the normal business.


Step1, A set of chops , which including company chop ,and chops for financial/tax invoice/contracts/China Customs, must be carved by individual business who approved by local Public Security Bureau 

Step2, Go to the  Bank with business license and Identity card of the person in charge to open the company's basic RMB bank account. The foreign currency bank account for service business can be applied for the purpose of receiving the oversea payment funds. 

Step3, handling the following operations simultaneously:
1. Bureau of Commerce 
● the registration of foreign trader
● the Production Capacity Certificate of Processing trade enterprises
● the Handbook of Processing trade for incoming materials
2. Tax bureau
● Fill out the Tax Supplementary Information Sheet for the new Taxpayers in regards of the tax (fees) categories recognition. If any debate caused by the recognition, a written letter can be handed over to the tax officer to alter it.
● Fill out the General Taxpayer Qualification Registration Form if choosing to be a general taxpayer. After it has been approved, enterprises shall re-identify the tax type, purchase the VAT Issuing System and the Tax Electronic Declaration System.
● Report the Financial Accounting System and Accounting Software, which also can be recorded to the Tax Bureau
● Pay the stamp duty for the Lease Contract and the Business License Certificate

Step4, completing other operations showed as below:
1. After receiving the approval of the basic RMB account, enterprise are allowed to go to the Bank for below matters:
● Sign the Tax Deduction Agreement to the Tax Bureau
● Opening a Housing Fund account and sign its Deduction Agreement
● Open a foreign currency bank account for imported and exported goods
2. Open an Account from the Social Security Bureau, and sign the Premium Deduction Agreement with Bank
3.  China Customs
● Enterprises apply for as the Customs Declaration Entity via China International Trade Single Window
● Submitted the name of the staff who handling the Customs declaration and Customs inspection business
 
五、Apply for Ukey for legal representatve / operator/ Customs declaration clerk

六、Handling below at the same time
1. Tax authority: apply for the Tax Rebates & exemption  Qualification
2. Single Window: completing the  triple agreement between China Customs and bank for import duty



Company business license modification

1. Modification details:
● Name: The new company's name can be independently inquired and declared through website https;//qykb.gdzwfw.gov.cn,except as otherwise provided by the company law
Domicile: Submit the proof of the use of the latest domicile
Legal representative: Provide the removal certificate of the original legal representative according to the provisions of the Articles of Association and the certificate of appointment of the new legal representative and  his/her copy of the identity certificate; If the legal representative of the company changed his own name,  its approval issued by the Public Security Bureau shall be handed over
● Registered capital: Submit relevant documents and instructions signed by the company
● Operating period: No relevant materials shall be submitted
● Business scope: Apply to adding the corresponding business scope
● Shareholders: The company's articles of association(AOA) have provisions on the transfer of equity; which stipulated by the AOA; If there is no provision in the AOA, the related document shall be submitted in accordance with the regulations
2. The required document for modification:
● Application for registration (filing)
● Appoint a representative or jointly appoint an agent to authorize the power of attorney
● The changes must be submitted for approval, and the relevant approved documents or copies of the permit documents shall be provided.
● Resolutions or decisions made in accordance with the law (in relation to the amendment of the AOA of the company, the resolutions or decisions of the contents of the AOA shall include amendments to the AOA of the company
● The revised AOA or Amendments to AOA of the company
● the duplicate business license
3. Record the foreign funded investment altered information

After modifying company' s information, the corresponding changes shall be conducted to the relevant government departments, such as Public security bureau, Bank, the competent tax bureau, Social Security Bureau, entry-Exit Inspection and Quarantine Bureau, the Customs, Housing, etc.
 

Company deregistration

1. Set up the liquidation group; inform the creditors; present the liquidation scheme
2. Complete the current monthly finance statement; prepare the liquidated statements and submit the liquidated report to tax authorities. It takes about 2 months to handle
3. Apply for the cancellation of business license to Administration for Industry & Commerce within 30 days after 45 days of public announcement
4. To other government departments to terminate the registration and announce that the company chops are invalid in newspaper

Annual reports
The registered enterprise shall submit the annual report of the previous year to the Administration for  Market Regulation through the Enterprise Credit Information Publicity System from January 1st to June 30th of the year and publish it to the society

The above whole procedure are allowed to handle online through Electronic Business Registration Management System
